4千臺山寨換氣扇國門前被截商標模仿東芝

記者昨日（7月26日）從廣州海關獲悉，該關所轄的佛山海關駐順德辦事處查獲一批涉嫌侵權的換氣扇，這批數量達4010臺的換氣扇，申報出口至伊拉克，貨物標有TOSHIBO商標，與株式會社東芝注冊商標TOSHIBA商標構成近似。目前，海關已經依TOSHIBA商標權權利人申請，扣留該批貨物。

7月12日，順德一家公司向海關申報出口換氣扇520箱，共4010臺，目的地是伊拉克，以彩盒包裝的各種規格換氣扇藏在沒有商標標識的大牛皮紙箱內，從外觀上無法看出貨物的廬山真面目。海關開拆外包裝仔細查驗后，發現貨物內包裝及風扇表面均印制有TOSHIBO商標，文字及形態均酷似日本著名企業株式會社東芝注冊的TOSHIBA商標。后經相關部門確認，這批換氣扇涉嫌商標侵權。

普田電器頻遭質量投訴銷量未進前20名

日前，普田電器產品質量和售后服務頻遭消費者投訴。最新的中怡康零售監測數據顯示，普田燃氣灶具、抽油煙機等主要產品線今年上半年的銷量排名均未進入前20名，電熱水器排名在第60名左右。

上個月，山東濟南一消費者使用的普田燃氣灶面板爆炸，普田電器方面稱是消費者使用不當造成的。而灶具專家表示，這是產品選材用料及設計工藝方面有缺陷造成的。一消費者還投訴稱，普田電熱水器泄壓閥漏水，普田電器卻要收取換件費，不履行保修十年的承諾。

普田電器售后服務差，也成消費者投訴的焦點。山東濟南一消費者投訴稱，剛買來的普田抽油煙機跳閘、燈泡損壞，普田電器售后經理說是消費者使用不當造成的，并稱也沒叫你買我們的油煙機，令消費者氣憤不已。廣東一消費者投訴稱，購買的普田抽油煙機無法正常工作后，普田維修人員以忙為由一個多月都未上門維修。

據家電調研機構中怡康公司今年1至7月監測數據顯示，普田燃氣灶在全國燃氣灶具銷量排行中位列第32名，普田抽油煙機在抽油煙機銷量排行中排行第22名，普田電熱水器在電熱水器銷量排行中約第60名。

不過，盡管普田灶具、抽油煙機和電熱水器等主打產品均未躋身銷售排行前20名，但其產品均價都在同品類中屬于中等、甚至偏上的價格。中怡康今年上半年監測數據顯示，普田燃氣灶、抽油煙機、電熱水器都和華帝同類產品價格相差無幾。而華帝燃氣灶排行第一，抽油煙機排名第三，電熱水器排名第十五。

這說明普田電器不是靠規模、靠品牌占領市場，而是靠虛高的價格賺取利潤。有業內人士指出，目前我國廚電等小家電行業品牌集中度不高，尤其農村市場還屬于開發階段，這為各種企業提供了生存機會。但是對于區域性品牌普田而言，生存機會不代表一勞永逸。它將受到包括方太、帥康、華帝等優秀大品牌的市場侵占和擠壓。同時，普田電器如果不注重抓產品質量和售后服務，將喪失更多的市場份額。

在國美事件中，以陳曉為代表的管理層與大股東黃光裕之間為爭奪公司控制權展開了一場沒有硝煙的商業戰爭。在最終的股東投票中，陳曉以微弱優勢勝出，這場持續兩個月之久的紛爭終于塵埃落定。

回顧這次事件的全過程，其意義遠遠超越事件本身，必將成為上市公司治理的一大經典案例。拋開事件背后的利益糾葛和是是非非，只要這場控制權之爭是嚴格遵循商業規則的公平博弈，最終控制權的歸屬并不重要，這取決于股東的最終投票，也恰恰體現了程序正義。雖然陳曉在最終的投票中勝出，但這場紛爭沒有勝者。大股東黃光裕失去了公司的控制權，陳曉則失去了眾多消費者和股東的信任。當然，這源于股東和公眾對其道德操守的質疑，而非對其經營管理能力的不信任。

據說在股東大會上，一位股東表示國美之爭是道德問題，并表示管理層需要更換。難道這次事件僅僅是道德問題嗎?顯然不是。在遵守規則和程序正義的前提下，我們不應該對他人提出額外的道德要求。這場控制權之爭為我們上了關于公司治理問題的生動一課，讓我們不得不反思其背后的根源，也是我國企業在法治環境下完善現代公司治理必須要面對的重要問題。

上市企業作為一個共和政體，必須解決其治理中存在的諸多問題。這次事件中的幾個核心問題是我們必須認真思考的。第一，這次事件中是否存在管理層與部分股東之間以及部分股東之間以串謀或不正當手段損害其他股東利益的行為。在正式投票之前，摩根大通、摩根士丹利和富達基金等幾大戰略投資者并沒有公開表示支持哪一方，這恰恰體現了他們作為成熟的機構投資者熟悉現代法治和公司治理規則的一面。在符合商業倫理和遵守法律的情況下，他們有權行使自己作為股東的權利，股東投票結果應該得到尊重。僅僅通過指責外資機構投資者并不能解決問題。第二，以陳曉為代表的管理層是否履行了其承擔的信托責任，是否有侵害股東利益的行為，也就是說，我們必須審視國美電器是否存在內部人控制問題。有效地解決內部人控制問題是我國眾多民營企業向現代公眾企業轉變的關鍵一環，如果這一問題不能解決，那么眾多的民營企業將會產生畏懼心理，從而影響民營企業的發展壯大。第三，國美電器從最初的民營企業發展成上市企業，股東與職業經理人之間形成了委托代理關系，同時也就產生了經理人的道德風險問題，那么其為職業經理人設計的激勵機制是否合理呢?冰凍三尺非一日之寒，如果沒有恰當的激勵機制，經理人與股東之間的利益沖突不可避免。第四，大股東的行為是否充分考慮到其他股東和利益攸關方的利益，尤其是處于弱勢地位的小股東的利益。股東在最終的投票中拋棄了黃光裕，難道這不值得深思嗎?

公司治理的核心目的在于公司價值的最大化，這一目標要兼顧大中小股東、管理層、債權人和消費者等多方的利益，絕不僅僅是為某一方謀利。我們期待著國美電器能早日捐棄前嫌，結束紛爭，再創輝煌，也期待著其他企業能從中吸取教訓，完善企業的治理結構。

有著朝陽產業之稱的太陽能熱水器行業今年突然減慢了前進的速度，而且還不僅如此，記者近日多方采訪了解到，近半年來，國內太陽能熱水器生產企業銳減1000多家，行業洗牌提前到來。一些知名企業也開始調整戰略，把目光由利潤率較低的農村市場轉向了城市，紛紛推出高端產品，以提高利潤率，應對突如其來的行業洗牌。

早就預料到太陽能熱水器行業會洗牌，但沒想到來得如此之快，如此突然。桑樂太陽能公司總裁高靖平告訴記者，現在，太陽能熱水器行業洗牌已經開始，在浙江海寧，原來有1100多家大大小小的太陽能熱水器生產企業，今年上半年已有3/4停產。

高靖平的觀點也得到了皇明太陽能公司營銷事業部總經理楊中興的支持，他告訴記者，去年年底，全國注冊的太陽能熱水器生產企業有7500余家，6月末，中國太陽能協會曾召開了一次會議，有關負責人透露，只剩下6000多家，半年內減少了1000多家。

山東省科學院能源研究所劉強預計，未來5年內，我國太陽能熱水器生產企業將會從目前的6000多家銳減至300家。

洗牌背后：生產企業無限制膨脹

今年太陽能行業為何突然遭遇洗牌?劉強認為，直接原因在于今年市場增長率遠低于往年平均水平。據介紹，去年，得益于家電下鄉，我國太陽能熱水器行業產值達到了創紀錄的630億元，增長速度達46%。

市場放量之后，很多企業還希望今年再創新高，紛紛擴大產能。然而從行業傳統的3-6月銷售旺季的市場實際表現來看，下滑慘狀讓很多人始料未及。劉強預計，今年的市場容量增長將在15%左右，遠低于前幾年平均30%的增長速度。

而根本原因則是多年來，太陽能熱水器行業的爆炸式增長。皇明公司技術研發中心總監張立峰告訴記者，我國太陽能熱水器行業沒有實施生產許可制度，也無需經過3C強制認證，任何人都可以輕松進入，一套幾萬元的設備外加三五個人，就是一個廠子。

據相關資料顯示，僅去年，我國就新增太陽能熱水器生產企業1000多家。然而，在目前國內6000多家企業中，真正擁有自主研發能力和規模化生產的企業不足20家。

企業對策：轉向高利潤的城市市場

我國的太陽能熱水器行業非常怪異，走了一個與家電行業完全相反的路。皇明太陽能董事長黃鳴告訴記者，家電是在城市完全成熟后走向農村的，它在產品質量和售后服務上都已經過市場檢驗;而太陽能卻首先走向了農村，一些質量低下、售后無人管等問題時常出現，給太陽能行業造成了不好的影響，我認為有必要重新回到城市，再走家電的路。

張立峰也表示，太陽能熱水器下鄉后，售后服務是個大問題，解決不好會給企業帶來不可挽回的負面影響。力諾瑞特也在發力城市市場，最近，它的上海生產基地正式投產。

這是一個草根行業，長期沒有大國企競爭，靠市場生存下來。日利達太陽能有限公司董事長王惠余認為，商業賣點和技術升級將成為太陽能熱水器行業缺一不可的利潤增加來源。
